1. Acceptance of Terms

By accessing or using ZipKit (the “Service”), you agree to these Terms of Service, our Privacy Policy, and — if applicable under Data Protection Laws — the additional data protection terms outlined below.

2. Eligibility

To use the Service, you must be at least 18 years old (or have permission from a parent or legal guardian). By using the Service, you confirm that you’re legally able to enter into this agreement.

3. Account Registration

When creating an account, you agree to provide accurate and complete information. You are responsible for keeping your login details secure and for any activity under your account. If you suspect unauthorized use, you must notify us promptly.

4. Use of the Service

You agree not to:

  • Use the Service for any unlawful or prohibited purpose.

  • Attempt to access systems or areas of the Service you’re not authorized to access.

  • Interfere with the operation, security, or performance of the Service.

We may suspend or terminate your account if we believe you’ve violated these Terms or if required for security or operational reasons.

5. Pricing and Payment

Some features require payment. All fees are non-refundable unless otherwise stated. We may update pricing or subscription terms from time to time, with notice before changes take effect.

6. Content and Intellectual Property

All content, software, and materials provided through the Service are owned by ZipKit or its licensors. You may not copy, modify, distribute, or create derivative works without permission.

If you submit content or data to the Service, you grant ZipKit a non-exclusive, royalty-free license to use, process, and display that content as needed to operate the Service.

7. Data Usage, GDPR Compliance & Data Processing

7.1 Processing on Your Behalf
If you (or your end-users) supply personal data to ZipKit, you remain the “Controller” and ZipKit operates as “Processor.” ZipKit will only process personal data in accordance with your documented instructions and for the sole purpose of delivering the Service. GDPR.eu+1

7.2 Security and Confidentiality
ZipKit implements reasonable technical and organizational measures to protect personal data: access controls, encryption in transit (HTTPS/TLS), isolation of processing environment, and logging. Any personnel or subprocessors granted access to personal data are bound by confidentiality obligations. GDPR.eu+1

7.3 Data Retention & Deletion
ZipKit does not store the actual content files or zipped output persistently. Files are processed in memory, then discarded once the zip job completes. Only minimal metadata (job IDs, timestamps, input URLs, file sizes, logs) is stored, and only as long as needed for billing, integrity, audit, or compliance. Upon termination or upon your request, all metadata will be deleted.

7.4 Subprocessors & International Transfers
ZipKit may rely on subprocessors (e.g., cloud infrastructure providers) to operate the Service. Any subprocessors will be held to the same data protection obligations as ZipKit. If personal-data processing involves transfers outside the EEA (or relevant jurisdiction), ZipKit will implement appropriate safeguards (e.g. Standard Contractual Clauses) as required under applicable data protection laws. 7.5 Data Subject Rights & Cooperation
ZipKit will assist you — to the extent reasonably possible — in responding to data subject requests under GDPR (access, correction, deletion, portability). If ZipKit receives any direct request from a Data Subject, we will route it to you without acting on it independently. GDPR.eu+1

7.6 Breach Notification & Incident Response
If ZipKit becomes aware of any personal data breach affecting data processed on your behalf, we will notify you without undue delay and provide necessary information to help you comply with reporting obligations under applicable law. GDPR.eu+1

8. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you’ve violated these Terms or to protect security or other users. Upon termination or upon your request, all personal data and metadata held by ZipKit will be deleted, unless retention is required by law.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available.” We make no guarantees about uptime, performance, accuracy, or reliability. Use of the Service is at your own risk.

10. Limitation of Liability

To the fullest extent permitted by law, ZipKit will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose.

11. Updates to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last Updated” date. Continued use after changes take effect constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of Australia, without regard to conflict-of-law rules.
